In the event of conflict between these Terms and a specific agreement (e.g., the MedPenny Program Agreement), that specific agreement will take precedence.

2. Services and Use of Platform
MedPenny provides a financial wellness platform designed to help users round up purchases and save toward medical expenses. You may use our platform to register an account, receive portfolio suggestions, link payment methods, and track savings. Use of the platform is subject to eligibility requirements and may require agreeing to additional terms. MedPenny reserves the right to modify or discontinue any feature, service, or content at any time, without notice. Participation in waitlists or referral programs does not establish a formal relationship with us unless explicitly stated.

3. Registration, Security, and Account Responsibilities
Certain services require account registration. You agree to provide accurate and current information and to keep your credentials secure. You are solely responsible for all activities under your account and must notify us of any unauthorized use. Your data will be managed according to our Privacy Policy. Access to sensitive features is restricted and governed by role-based permissions and session policies. Internal systems are protected using encryption, two-factor authentication, and session tracking mechanisms.

4. Communications, Notifications, and 2FA
As part of our service, you may receive system notifications, transaction alerts, authentication messages, and promotional emails. Standard carrier messaging rates may apply. You can opt out of promotional messages via provided links. For two-factor authentication, MedPenny sends verification codes via SMS. You can opt out anytime by replying “STOP” or contacting support. If you experience delivery issues, contact your mobile carrier or visit help.medpenny.com.

5. Content Ownership and User Materials
All site content, code, design, and functionality are owned by MedPenny, LLC or licensed to us. You may not copy, distribute, or create derivative works without permission. By uploading materials, you grant MedPenny a license to use, distribute, and display those materials to provide services. You represent that you have the rights to share any submitted content. We are not responsible for the accuracy, completeness, or legality of user-submitted content.

6. Acceptable and Prohibited Uses
You may use the platform for lawful, personal purposes in accordance with these Terms. You may not:

• Use the platform for fraudulent, harmful, or illegal purposes
• Access accounts or data without authorization
• Scrape, crawl, or mine platform data
• Transmit viruses or malicious code
• Reverse engineer or tamper with platform functionality
• Engage in harassment or violate others' rights

Violations may result in account suspension and legal consequences.

7. Promotions and Referrals
We may offer limited-time referral programs, rewards, or promotional offers. Participation does not guarantee rewards, and we reserve the right to cancel or modify such programs at our discretion. Rewards earned through fraudulent or prohibited activity may be withheld or revoked.

12. Entire Agreement
These Terms of Use, together with our Privacy Policy and any additional agreements you accept when using specific services, constitute the full agreement between you and MedPenny, LLC regarding use of the MedPenny platform. If any provision is deemed unenforceable, the remaining provisions will remain in full force and effect.
